Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and GhostBet LLC, a California limited liability company ("GhostBet," "we," "us," or "our"), governing your access to and use of the Fade application and website at fadeplay.us (together, the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Fade is a free-to-play social prediction game. Players join private leagues with people they know and make predictions on real-world sporting events using virtual points.

Fade involves no real-money wagering. Virtual points cannot be purchased, have no cash value, and are never redeemable for money, prizes, goods, or anything else of monetary value. There is no cash-out, withdrawal, or conversion of any kind. We do not process, hold, transmit, or facilitate any real-money transaction, and we take no fee or commission from any player.

Some leagues include optional free-text fields, such as a "buy-in" or "prize pool" label, that members may use to record informal arrangements they have made privately among themselves. These are notes typed by users for their own reference. GhostBet is not a party to, does not collect, does not distribute, and takes no responsibility for any such arrangement. Any money changing hands between players does so entirely outside the Service.

Odds are displayed as multipliers and are a scoring mechanic used to weight virtual point awards. They are not offers to accept a wager.

You must be at least 18 years old, or the age of majority in your jurisdiction if that age is higher, to create an account or use the Service. The Service is not directed to children, and we do not knowingly permit anyone under 18 to register.

You are responsible for complying with the laws of your own jurisdiction regarding prediction games, contests, and social gaming. If your use of the Service would be unlawful where you live, you may not use it. You represent that you are not barred from using the Service under any applicable law.

You are responsible for the accuracy of the information you provide, for keeping your password confidential, and for all activity that occurs under your account. Notify us at contact@fadeplay.us if you believe your account has been accessed without your authorization.

One person, one account. You may not share your account, transfer it, or create additional accounts to evade a suspension or to gain an advantage in a league.

You agree not to:

• Cheat, exploit bugs, or otherwise manipulate scoring, settlement, standings, or any other part of the game.
• Use bots, scripts, scrapers, or any automated means to access or interact with the Service.
• Harass, threaten, defame, impersonate, or abuse other players.
• Upload, post, or transmit content that is unlawful, obscene, sexually explicit, hateful, violent, or otherwise objectionable.
• Attempt to access accounts, data, leagues, or systems that are not yours, or probe, scan, or test the security of the Service.
• Use the Service to organize, promote, advertise, or facilitate real-money gambling, betting, or any activity that would require a gaming license.
• Reverse engineer, decompile, or attempt to derive the source code of the Service, except where that restriction is prohibited by law.

"User Content" means anything you submit to the Service, including your username, your profile picture, and any text you enter in league fields. You retain ownership of your User Content. By submitting it, you grant GhostBet a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that content solely for the purpose of operating and providing the Service.

You are solely responsible for your User Content. You represent that you own it or have the rights necessary to submit it, and that it does not infringe anyone's rights or violate any law.

We do not tolerate objectionable content. Profile pictures are screened by automated image moderation before they are published, and images that appear to contain nudity or sexual content, graphic violence or gore, weapons, or hate symbols are rejected. Automated screening is not perfect, so we also give every member tools to act: you can report any profile from that user's profile page, and you can block a user so their profile picture is hidden from you.

We review reports and may remove content, reset a profile picture, suspend, or terminate an account at our discretion. We aim to act on reports of objectionable content within 24 hours. We may remove content or suspend accounts without prior notice where we believe it is necessary to protect users or comply with law.

The Service, including its software, design, text, graphics, logos, and the Fade name and marks, is owned by GhostBet LLC or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own non-commercial entertainment.

Team names, league names, athlete names, and sporting data are the property of their respective owners and are used for identification and informational purposes. Fade is not affiliated with, endorsed by, or sponsored by any sports league, team, or governing body.

Fixtures, odds, and results are supplied by third-party data providers. This data may be delayed, incomplete, or incorrect, and settlement outcomes may be corrected after the fact. We may re-settle or void picks to correct an error. We do not warrant the accuracy or timeliness of any third-party data.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.

TO THE FULLEST EXTENT PERMITTED BY LAW, GHOSTBET LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR VIRTUAL POINTS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

We are not responsible for any dispute, loss, or obligation arising from a private arrangement between players, including any informal buy-in or pot recorded in a league field. Those arrangements are between the players involved.

Some jurisdictions do not allow the limitation of certain damages, so some of the above may not apply to you.

You agree to indemnify and hold harmless GhostBet LLC and its members, managers, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your User Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

You may stop using the Service at any time and may request deletion of your account by contacting contact@fadeplay.us.

We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms, if your conduct risks harm to other users or to us, or if we discontinue the Service. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You and GhostBet agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.

Nothing in these Terms limits any right you may have to bring a claim in a small claims court, or any non-waivable right under the consumer protection laws of your place of residence.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be communicated through the Service or by email where practicable. Continuing to use the Service after a change takes effect means you accept the revised Terms.

These Terms, together with the Privacy Policy, are the entire agreement between you and GhostBet regarding the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
